A. The Supplier supplies Studio work under the Get Hands Master Services Agreement (the MSA) and the Studio Subscription Terms.
B. The Supplier offers a Studio Test Drive, being a one-off package of Studio work which a prospective client may purchase before subscribing to a Plan.
C. These Terms are a Service Document under the MSA and set out the terms on which the Supplier supplies a Studio Test Drive to the Client.
The parties agree as follows:
1. Parties, application and acceptance
1.1 Parties. These Test Drive Terms (in this document, these Terms) are made between DMND Holdings Pty Ltd (ACN 657 968 860, ABN 68 657 968 860), trading as Get Hands Group, of 8/26 Davison Street, Richmond VIC 3121, Australia (the Supplier), and the client named above (the Client).
1.2 Application. These Terms apply to the purchase and use of a Studio Test Drive. The Studio Subscription Terms and the MSA apply to the Test Drive work, except to the extent that these Terms provide otherwise. To the extent of any inconsistency between these Terms and the Studio Subscription Terms, these Terms prevail in respect of the Test Drive (MSA clause 2.2).
1.3 Acceptance. The Client accepts these Terms, the Studio Subscription Terms and the MSA by ticking, at checkout, an unticked box that links to all three documents, the DPA and the Refund and Cancellation Policy, and by completing payment. The Supplier records the version accepted and the time, person and method of acceptance (MSA clause 3.3).
2. Definitions
Capitalised terms used but not defined in these Terms have the meaning given to them in the Studio Subscription Terms or, failing that, the MSA, and the rules of interpretation in MSA clause 1.2 apply to these Terms. In these Terms, "must" denotes an obligation, "must not" denotes a prohibition and "may" denotes a discretion or permission; "will" is used only for statements of future fact and within quoted Published Promises. In these Terms:
Additional Hours means hours purchased under clause 4.2.
Test Drive means a one-off package of 5 hours of Studio work purchased under these Terms.
Test Drive Delivery means the day on which the Supplier delivers, in the client app, the last Deliverable from the Test Drive (including any Redo). However, if any Test Drive hours are still unused on the Use-by Date, Test Drive Delivery is whichever is later of that day and the Use-by Date.
Test Drive Fee means the price paid for the Test Drive, as shown at checkout, including any GST, VAT or sales tax charged on it.
Refund Amount means the Test Drive Fee, together with the price of any Additional Hours that have not been used or reserved for an Approved Estimate at the time of the refund request, in each case including any GST, VAT or sales tax charged on them. Additional Hours that have been used, or reserved for an Approved Estimate, are not refunded.
Use-by Date means the date 30 days after the date of purchase, as shown above.
The words in quotation marks in clauses 5.1 and 6.1 are Published Promises, being the conditions the Supplier publishes on its website, reproduced verbatim. In those Published Promises, "we" means the Supplier and "you" means the Client.
3. The Test Drive
3.1 Inclusions. A Test Drive comprises 5 hours of Studio work, supplied with an Estimate before work commences, the Redo and an art-director check, in the same manner as under a Studio Subscription.
3.2 Price. The price of the Test Drive is AUD $495, exclusive of GST, in the Australian market, or the price for the Client's market in the Supplier's current price list, in each case as shown at checkout. The price is payable in full in advance.
3.3 One-off purchase. A Test Drive is a one-off purchase. It does not renew and is not a subscription. No further amount is charged unless the Client elects to purchase Additional Hours or to subscribe to a Plan.
3.4 One per business. Each business may purchase one Test Drive only. The Supplier may decline a second Test Drive from the same business, from a related body corporate of that business, or from a business owned or controlled by the same persons, and must refund in full any second Test Drive that it declines.
4. Use of the Test Drive hours
4.1 Allocation. The Client may use the 5 hours on one Brief or across several Briefs, subject to Approved Estimates.
4.2 Additional Hours. If a Brief requires more hours than remain, the Supplier must notify the Client before work commences. The Client may then reduce the scope, subscribe to a Plan, or purchase Additional Hours at AUD $99 per hour, exclusive of GST (or the price for the Client's market in the current price list). Additional Hours are payable at the time of purchase and are used on the same terms as the Test Drive hours. For a Test Drive, any further rounds of changes after the Redo consume Test Drive hours or Additional Hours.
4.3 Use-by Date. Test Drive hours and Additional Hours must be used by the Use-by Date, subject to two exceptions. First, hours reserved for an Approved Estimate before the Use-by Date are not forfeited if the Job is completed after the Use-by Date. Second, any other hours still unused on the Use-by Date are held until 14 days after Test Drive Delivery. If the Client commences a Plan within that period, those hours carry over in accordance with clause 6.3. If the Client does not, those hours expire at the end of that period.
5. Test Drive refund
5.1 Refund promise. The Supplier gives the following Published Promise, reproduced verbatim from its website: "If you don't love your Test Drive, ask us in writing within 14 days of its delivery and we refund what you paid for it in full."
5.2 Making a request. The Client may request the refund by email to hello@gethands.com.au or in the client app, within 14 days after Test Drive Delivery. The Client is not required to give any reason.
5.3 Amount refunded. The Supplier must refund the Refund Amount, including any GST, VAT or sales tax charged, to the original payment method and in the same currency, within 10 Business Days of the request.
5.4 Effect of a refund. If the Client takes a refund:
(a) the Supplier does not release the Test Drive files, all Intellectual Property Rights in the Test Drive work remain vested in the Supplier, and the Client must not use, and must delete, any Test Drive Deliverable; and
(b) the Test Drive does not give rise to any credit under clause 6; and
(c) the Supplier must not use, display or disclose any Test Drive work that contains Client Materials, and must delete that work within 30 days.
6. Credit towards a Studio Subscription
6.1 Credit promise. The Supplier gives the following Published Promise, reproduced verbatim from its website: "If you start a Studio plan within 14 days of your Test Drive's delivery, we credit the Test Drive price you paid against that plan's first monthly invoice. The credit isn't paid out as cash, and it can't be combined with the Test Drive refund."
6.2 Credit and refund are alternatives. Once the credit has been applied, the refund under clause 5 ceases to apply, and a refunded Test Drive does not give rise to any credit. The amount of the credit is the Test Drive Fee and does not include the price of any Additional Hours.
6.3 Carry-over of unused hours. If the Client commences a Plan with the benefit of the credit, any unused Test Drive hours and Additional Hours carry over into the first Billing Period of that Plan.
6.4 Election of the credit. By commencing a Plan within the credit window from the same account, the Client elects to take the credit, and the client app must inform the Client of that election before the Client confirms. The credit is applied against the GST-inclusive total of the first invoice for the Plan; if that total is less than the credit, the balance is credited against the next invoice. Notwithstanding the foregoing, if the Client requests the refund before the first invoice for the Plan is issued, the refund applies instead of the credit.
7. Other Studio Promise terms
7.1 First draft. Clause 10.1 of the Studio Subscription Terms (first draft within 48 hours for a Job estimated at 10 hours or less, with a Complete Brief, or the Job is free) applies to Test Drive Jobs. Where that clause applies, the relevant hours are returned to the Test Drive balance.
7.2 Redo. Clause 6.1 of the Studio Subscription Terms applies.
7.3 Claims. MSA Schedule 1 sets out who gives these promises and how a claim under them is made.
8. Ownership
8.1 Passing of ownership. Until the earliest of the closing of the refund window under clause 5, the Client commencing a Plan with the benefit of the credit, and the Client confirming in the client app that it will not request a refund, the Supplier may supply Test Drive work as previews (for example, watermarked or view-only files), and the Intellectual Property Rights in that work remain vested in the Supplier. Upon the earliest of those events, those Intellectual Property Rights are assigned to the Client in accordance with MSA clause 12.3, and the full files are released. If the Client takes a refund, clause 5.4 applies and no assignment occurs.
8.2 Third-party assets. Clause 12.4 of the Studio Subscription Terms applies.
9. After the Test Drive
9.1 No further charges. If the Client does not subscribe, no further amount is charged.
9.2 Marketing. The Supplier may contact the Client about Studio plans in accordance with its Privacy Policy and applicable spam laws. The Client may unsubscribe at any time.
9.3 Retention. The Supplier retains Test Drive files for 90 days after Test Drive Delivery and then deletes them. The Client is responsible for downloading anything that it wishes to retain.
10. Consumer rights
The benefits under these Terms are in addition to the Client's Non-excludable Rights, including without limitation under the ACL (MSA Schedule 1). A UK consumer's 14-day right to cancel is explained in the Refund and Cancellation Policy.
Execution
Accepted online by the Client in accordance with clause 1.3; no handwritten signature is required.
