Version v2.8, 13 October 2026 — in force from 13 October 2026.
Client: the client named when the terms are accepted · Plan: the plan chosen at checkout · Start date: the date the plan starts · Accepted: the date recorded on acceptance by the person who accepts
Recitals
A. The Supplier supplies a managed creative production service known as Get Hands Studio.
B. The Client has accepted, or accepts together with these Terms, the Get Hands Master Services Agreement.
C. These Terms are a Service Document under the Get Hands Master Services Agreement and set out the terms on which the Supplier supplies Studio Subscriptions to the Client.
The parties agree as follows:
1. Parties, application and acceptance
1.1 Parties. These Studio Subscription Terms (also referred to as the Studio Terms and, in this document, these Terms) are made between DMND Holdings Pty Ltd (ACN 657 968 860, ABN 68 657 968 860), trading as Get Hands Group, of 8/26 Davison Street, Richmond VIC 3121, Australia (the Supplier), and the client named above (the Client).
1.2 Application. These Terms apply to every Studio Subscription, top-up and add-on purchased by the Client, and to Studio work performed in a Test Drive except to the extent that the Test Drive Terms provide otherwise.
1.3 The MSA. The Get Hands Master Services Agreement (the MSA), including the DPA, applies to every Studio Subscription and is incorporated into these Terms. The Client accepts the MSA upon accepting these Terms, unless the Client has already signed the MSA. To the extent of any inconsistency between these Terms and the MSA in respect of a Studio matter, these Terms prevail (MSA clause 2.2).
1.4 Acceptance. The Client accepts these Terms by ticking an unticked box at checkout (or in the client app) that links to these Terms, the MSA, the DPA and the Refund and Cancellation Policy, and completing payment, or by signing these Terms electronically. The Supplier records the version, time, person and method of acceptance (MSA clause 3.3).
1.5 Order. The Client's Order comprises the Plan, any Commitment Term and any add-on selected at checkout or set out in a quote issued by the Supplier and accepted by the Client. The Order, together with these Terms and the MSA, constitutes the Client's Studio Subscription.
2. Definitions and interpretation
2.1 Definitions. Capitalised terms used but not defined in these Terms have the meaning given to them in the MSA. In these Terms:
AI Setting means the setting selected for a Brief under clause 11.1.
Approved Estimate means an Estimate that the Client has approved in the client app.
Bonus Hours means the additional hours added under clause 8.
Brief means a request for Studio work submitted in the client app.
Commitment Term means a 6-month or 12-month commitment period selected under clause 8.
Complete Brief means a Brief that states what is required, where it will be used, the required sizes and formats and the deadline, and that includes the Client's content, brand assets and any references. A Brief that the client app accepts without requesting anything further is a Complete Brief.
Delivery means the time at which the Supplier makes a Deliverable available to the Client in the client app.
Estimate means the Supplier's written estimate of the hours and turnaround for a Brief.
First Draft means the first version of a Deliverable that the Supplier delivers for the Client's review.
Job means the work required to fulfil one Approved Estimate.
Plan means a Studio plan listed in clause 3.1, as selected in the Order.
Plan Hours means the hours included in the Plan for each Billing Period.
Plan Rate means the price of the Plan for a Billing Period divided by its Plan Hours.
Redo has the meaning given in clause 6.1.
Studio Fees means the price of the Plan for each Billing Period and the price of any top-ups and add-ons.
Top-up Hours means hours purchased in addition to Plan Hours.
The rules of interpretation in MSA clause 1.2 apply to these Terms. In these Terms, "must" denotes an obligation, "must not" denotes a prohibition and "may" denotes a discretion or permission; "will" is used only for statements of future fact and within quoted Published Promises.
2.2 Quoted promises. The words in quotation marks in clauses 6.1 and 10 are the conditions that the Supplier publishes on its website, reproduced verbatim. In those words, "we" means the Supplier, "you" means the Client, "job" means Job, "brief" means Brief and "first draft" means First Draft.
3. Studio plans and hours
3.1 Plans. The Supplier offers the following Plans. Prices are stated per Billing Period, in AUD and exclusive of GST, as published at the date of this version. Prices for the UK (GBP) and US (USD) markets are as shown in the Supplier's current price list for the Client's market and in the Order. A later price applies to an existing Studio Subscription only in accordance with clause 9.5.
| Plan | Plan Hours per Billing Period | Price per Billing Period |
|---|---|---|
| Minimum | 10 | AUD $990 |
| Value | 20 | AUD $1,790 |
| Growth | 40 | AUD $3,190 |
| Max | 80 or more | From AUD $5,990, sized and quoted for the Client's mix of work, as set out in the Order |
3.2 What an hour covers. An hour is an hour of production work performed by a Studio Maker on the Client's Jobs. Art-direction checks and project coordination are included in the Approved Estimate, and the Redo uses no hours beyond the Approved Estimate.
3.3 Examples are illustrative. Examples published by the Supplier of what a Plan "typically covers" are illustrative only. The hours required for each Job are determined by its Approved Estimate.
3.4 Creative Director add-on. The Client may add the Creative Director service (strategy, creative direction and brand standards) for AUD $1,490 per Billing Period (or the price for the Client's market in the current price list). The Creative Director service is billed with the Plan and may be removed with effect from the first Renewal Date at least 14 days after the request.
3.5 Personnel. Studio work is produced by Studio Makers engaged by the Supplier and is checked by an art director before Delivery. The Client does not have a dedicated individual unless the Order so provides.
4. Briefs, Estimates and approval
4.1 Briefs. The Client submits each request as a Brief. The client app checks each Brief and requests anything that is missing.
4.2 Estimate first. The Supplier must provide an Estimate for each Brief before commencing work on it.
4.3 No work without approval. The Supplier must not commence work on, or deduct hours in respect of, a Brief until the Client approves its Estimate.
4.4 Estimates are capped. If a Job is likely to exceed its Approved Estimate, the Supplier must stop work and seek the Client's approval before using further hours. Hours used in excess of an Approved Estimate without the Client's approval are not charged. If a Job takes fewer hours than estimated, only the hours actually used are deducted.
4.5 Turnaround. The turnaround in an Approved Estimate commences when the Brief is a Complete Brief and the Estimate has been approved, is calculated as stated in the Approved Estimate, and is suspended while the Supplier is waiting on the Client for content, feedback or access.
4.6 Rush. On a 24-hour turnaround, each hour of work uses 1.5 hours. A 24-hour turnaround applies only where the Client approves an Estimate that specifies it.
4.7 Declining a Brief. The Supplier may decline a Brief that is unlawful, infringes the rights of any person, is misleading or offensive, or requires a skill that the Supplier does not offer. The Supplier must notify the Client of any such decision before any Estimate is approved, and no hours are used.
5. Delivery and acceptance
5.1 Quality check. An art director checks each Deliverable against the Brief and the Supplier's quality standards before Delivery.
5.2 Acceptance. A Deliverable is accepted when the Client signs it off in the client app or, if the Client has not requested the Redo by then, 14 days after Delivery. Acceptance ends the Redo window only. Acceptance does not affect clause 6.3 in respect of errors that the Client reports within 30 days of Delivery, or the Client's Non-excludable Rights.
6. Redo and further changes
6.1 One free Redo. The Supplier gives the following Published Promise, reproduced verbatim from its website (the Redo): "Every job includes one free redo, within the approved brief. Ask for it within 14 days of delivery, as one list of changes. A new direction, new ideas or extra pieces are new work, estimated first. Stages you have approved, such as the concept, stay approved. Further rounds of changes use hours from your plan, at your plan's rate."
6.2 Further changes. The Supplier must provide an Estimate for any further round of changes before performing it.
6.3 The Supplier's errors. The correction of a Deliverable that does not conform to the Approved Estimate or the Brief by reason of an error on the part of the Supplier is not a further round of changes and uses no hours.
7. Unused hours, rollover and top-ups
7.1 Rollover. Plan Hours not used in a Billing Period roll over for one Billing Period. Hours from a Billing Period that remain unused at the end of the following Billing Period expire without refund or credit, except as provided by MSA clause 20.2 or by law.
7.2 Oldest first. Hours are used in the order in which they were added, oldest first.
7.3 Visibility of hours. The client app displays the Client's available hours and the date on which each block of hours expires. The Supplier also aims to notify the Client when its available hours are running low.
7.4 Top-ups. The Client may purchase Top-up Hours at its Plan Rate. Top-up Hours are paid for at the time of purchase or, if the Client so elects in the client app, on its next invoice, and may be used for the remainder of the Billing Period in which they are purchased and for the next Billing Period.
7.5 Automatic top-ups. Where the client app offers automatic top-ups, the Client may activate them, subject to a monthly spending cap set by the Client. The Supplier must not exceed that cap in any circumstances and must notify the Client of each automatic top-up.
7.6 After the Studio Subscription ends. Despite clause 7.1, paid hours remaining when a Studio Subscription ends may be used for 30 days after the end date, after which they expire, except where MSA clause 20.2 entitles the Client to a refund.
7.7 Hours committed before expiry. Hours reserved for an Approved Estimate before the date on which they would otherwise expire are not forfeited if the Job is completed after that date.
8. Commitment Terms and Bonus Hours
8.1 Option. When subscribing, or later in the client app, the Client may select a Commitment Term:
(a) 6 months: Bonus Hours equal to 10% of the Plan Hours are added each Billing Period; or
(b) 12 months: Bonus Hours equal to 20% of the Plan Hours are added each Billing Period.
8.2 Bonus Hours. Bonus Hours roll over and expire in accordance with clause 7 in the same manner as Plan Hours.
8.3 Payment and price. A Commitment Term is billed monthly in advance unless the Order provides for payment of the full Commitment Term in advance. The price of the Plan does not change during a Commitment Term.
8.4 Ending during a Commitment Term. The Client may cancel during a Commitment Term in accordance with clause 13. If the Client does so:
(a) the Supplier ceases adding Bonus Hours, and unused Bonus Hours lapse on the end date;
(b) the Client must pay, on the final invoice, for the Bonus Hours it has already used, at the Plan Rate. That is the only amount payable in respect of ending early, and the Client is not liable to pay for the remainder of the Commitment Term;
(c) the Bonus Hours used are the total hours used during the Commitment Term, less all Plan Hours and Top-up Hours added during it, less any Test Drive hours and any additional hours bought during a Test Drive that were carried in, hours returned under clause 10.1, and unexpired hours held when the Commitment Term began, but not less than zero and not more than the Bonus Hours added; and
(d) if the full Commitment Term was paid in advance, the Supplier must refund the Studio Fees for whole Billing Periods after the end date, less the amount in clause 8.4(b).
No amount is payable under clause 8.4(b) where the Client ends the Studio Subscription under MSA clause 18.4, 21.3 or 24.2, under MSA clause 19.2 because of the Supplier's breach or Insolvency Event, or following an objection under DPA clause 5.5, or where the Supplier ends the Studio Subscription for convenience.
8.5 End of a Commitment Term. On the expiry of a Commitment Term, the Studio Subscription continues on a month-to-month basis on the same Plan without Bonus Hours, unless the Client selects a new Commitment Term. The Supplier must remind the Client at least 14 days before a Commitment Term ends.
9. Fees, invoicing and payment
9.1 In advance. Studio Fees are payable monthly in advance on the start date and on each Renewal Date.
9.2 Automatic renewal and charging. The Studio Subscription renews automatically for each Billing Period until cancelled. The Client authorises the Supplier to charge the card or debit authority saved at checkout on each Renewal Date (MSA clause 8.4). Payment is processed by Airwallex. The Supplier does not charge card surcharges.
9.3 Currency and tax. Studio Fees are payable in AUD, GBP or USD according to the Client's market. GST, VAT and sales tax apply as set out in MSA clause 10.
9.4 Plan changes. An upgrade takes effect immediately, and the Client must pay the pro rata difference for the remainder of the Billing Period and receives pro rata Plan Hours. A downgrade takes effect from the first Renewal Date that is at least 14 days after the request and, during a Commitment Term, not before the Commitment Term ends. During a Commitment Term, Bonus Hours are thereafter calculated on the new Plan Hours.
9.5 Price changes. The Supplier may change the price of an existing Plan, other than during a Commitment Term, by giving the Client at least 60 days' written notice. The Client may cancel without penalty before the change takes effect (MSA clause 21.3).
9.6 Failed payments. Plan Hours and Bonus Hours for a Billing Period are added only when the Studio Fees for that Billing Period have been paid. If a renewal payment fails:
(a) the Supplier must contact the Client, must retry the charge 24 hours, 48 hours and 72 hours after the failed attempt, and must continue to accept and complete Jobs on hours already paid for;
(b) if a retry succeeds, or the Client otherwise pays the renewal, before the 72-hour retry has failed, the hours for that Billing Period are added and the Studio Subscription continues; and
(c) if the renewal remains unpaid after the 72-hour retry, the Studio Subscription is cancelled and ends at the end of the last paid Billing Period, no amount is owed in respect of the failed renewal and no amount is payable under clause 8.4(b), and clause 7.6 applies to any paid hours remaining.
Alternatively, the Client and the Supplier may agree in writing to continue the Studio Subscription on a later payment date. MSA clause 9 applies to other overdue amounts, including suspension under MSA clause 9.2.
9.7 Pausing the subscription. The Client may pause its Studio Subscription for 1 or 2 whole Billing Periods, up to a maximum of 2 Billing Periods in any 12 months, by request made in the client app or by email before its next Renewal Date. The Client may not start a pause during a Commitment Term. While the Studio Subscription is paused:
(a) no Studio Fees are charged and no Plan Hours or Bonus Hours are added;
(b) hours already paid for are frozen, and their expiry dates are deferred by the length of the pause; and
(c) Jobs already in production are completed on paid hours unless the Client requests the Supplier to stop them.
The Studio Subscription resumes automatically on the Renewal Date following the pause, and the Client may cancel during a pause in accordance with clause 13.
10. The Studio Promise
10.1 First draft. The Supplier gives the following Published Promise, reproduced verbatim from its website: "For a job estimated at 10 hours or less, with a complete brief, you get the first draft within 48 hours of the complete brief, not counting time we're waiting on you (such as approving the estimate). If you don't, that job is free: its hours aren't taken from your plan." For the purposes of that Published Promise, the 48 hours run continuously from the time at which the Complete Brief is submitted, but exclude any time during which the Supplier is waiting on the Client (including without limitation for approval of the Estimate). The remedy under this clause 10.1 is the return of the relevant hours to the Client and not a payment of cash.
10.2 Redo. The Redo is set out in clause 6.1.
10.3 Test Drive. The Test Drive refund and credit are set out in the Test Drive Terms.
10.4 Rollover and no lock-in. The Supplier gives the following Published Promise, reproduced verbatim from its website: "Unused plan hours roll over for one month. Plans are month to month." Clauses 7 and 13 apply. A Commitment Term is optional, and the only cost of ending a Commitment Term early is the amount payable for Bonus Hours already used (clause 8.4).
10.5 How to claim. MSA Schedule 1 sets out who gives the Studio Promise and how a claim under it may be made. The benefits of the Studio Promise are in addition to the Client's Non-excludable Rights.
11. AI settings and disclosure
11.1 AI Setting per Brief. For each Brief, the Client may select:
(a) Human only: no generative AI is used in the Deliverable;
(b) AI-assisted: Studio Makers may use Supplier-approved AI tools for parts of the work; or
(c) AI-first: AI tools produce most of the work, which Studio Makers direct, edit and check.
The default AI Setting is AI-assisted (you can change it per brief). The Client may disable the use of AI on its data by written notice (or in its organisation settings, where available).
11.2 Approved tools only. The Supplier uses only approved AI tools that do not use Client data to train their models (MSA clause 14.7).
11.3 Disclosure. The Supplier must notify the Client when a Deliverable is substantially AI-generated, and must identify the AI tools used where the terms of those tools affect the Client's use of the Deliverable.
11.4 Protection of AI elements. MSA clause 12.7 applies. The Client is responsible for any disclosure of the use of AI that is required by law when the Client publishes a Deliverable.
12. Intellectual property and files
12.1 Ownership on payment. MSA clause 12.3 applies. Because Studio Fees are paid in advance, Intellectual Property Rights in a final Deliverable are usually assigned to the Client on Delivery.
12.2 Working files. On request, the Supplier must supply the editable source files for final Deliverables (such as design, project and code files) once all Studio Fees relating to those Deliverables have been paid.
12.3 Pre-existing materials. Supplier Materials included in a Deliverable, such as templates, presets and tools, remain the property of the Supplier and are licensed to the Client under MSA clause 12.5.
12.4 Third-party assets. Fonts, stock images, footage, music, templates and plugins remain subject to their own licences (MSA clause 12.6). The Supplier must list those assets on Delivery and must notify the Client of the cost of any paid asset before using it.
12.5 Portfolio. The Supplier must not show the Client's work without the Client's consent (MSA clause 12.9).
13. Term, renewal and cancellation
13.1 Term. A Studio Subscription commences on the start date and continues on a month-to-month basis, renewing on each Renewal Date, until cancelled under this clause 13 or terminated under the MSA.
13.2 Cancellation by the Client. The Client may cancel its Studio Subscription at any time, online in the client app or by email. Cancellation takes effect at the end of the Billing Period already paid for, and no further Studio Fees are charged. To avoid the next renewal charge, the Client must cancel before 11:59 pm (the Client's local time) on the day before the Renewal Date. No cancellation fee is payable. The only amount that may be payable on cancellation is the amount for Bonus Hours already used where a Commitment Term ends early (clause 8.4).
13.3 No part-month refunds. The Supplier does not refund any part of a Billing Period that has commenced, except where required by MSA clause 20.2, the Refund and Cancellation Policy or law.
13.4 Cancellation by the Supplier. The Supplier may end a Studio Subscription for convenience by giving the Client at least 30 days' written notice. MSA clause 20.2 then applies, and the Supplier must refund the Studio Fees for any period after the end date and, at the Client's election, either refund unused paid hours at the Plan Rate or permit the Client to use them in accordance with clause 7.6.
13.5 Termination for cause. MSA clauses 9.5 and 19 apply.
13.6 On ending. The Supplier must deliver completed Deliverables and, on request, working files for which all Studio Fees have been paid. The Supplier retains Briefs, files and Deliverables for 90 days after the end date, offers an export before deletion, and then deletes them. The Client should retain its own copies.
14. Client obligations
14.1 Cooperation. The Client must provide Complete Briefs, Client Materials, brand assets, feedback and approvals in a timely manner, and must comply with MSA clauses 6.5 and 6.6.
14.2 Working with Studio Makers. The Client must contact Studio Makers only through the client app and must not arrange work with them through any other channel. MSA clause 11 (non-solicitation) applies to Studio Makers who have performed work on the Client's account. The Client may move a Studio Maker into a Seat without any Placement Fee (MSA clause 11.5).
15. Consumer and renewal rights
15.1 Australia. Nothing in these Terms excludes the Client's Non-excludable Rights under the ACL (MSA Schedule 1).
15.2 United Kingdom. A Client who is a consumer has a 14-day right to cancel a contract made online, as explained in the Refund and Cancellation Policy.
15.3 United States. Studio Subscriptions renew monthly until cancelled and may be cancelled online at any time. Where a state automatic renewal law confers greater rights on the Client, those rights apply.
Execution
Accepted online by the Client in accordance with clause 1.4; no handwritten signature is required.
